Terms of Service

1. What Dalverle Is
Dalverle is a software-as-a-service (SaaS) platform that provides:
- SO (Scan Order): QR code-based table and room ordering with shared cart functionality
- TO (Terminal Order): Point-of-sale system for cashier and counter transactions
- DO (Delivery Order): Online ordering website for takeout and delivery
We serve restaurants, hotels, nightclubs, cloud kitchens, supermarkets, spas, hospitals, and other hospitality businesses primarily in Nigeria and Lebanon.
2. Who Can Use Dalverle
- You must be at least 18 years old or have parental/guardian consent
- You must represent a real business or be authorized to act on behalf of one
- You must provide accurate business information (name, address, tax ID if applicable)
- You cannot use Dalverle for illegal activities or to sell prohibited items
3. Your Account & Responsibilities
You are responsible for:
- Keeping your login credentials secure (we recommend strong passwords)
- All activity that happens under your account
- Notifying us immediately if you suspect unauthorized access: support@dalverle.com
- The accuracy of product information, prices, and menus you upload
- Compliance with local food safety, business, and tax laws
⚠️ Important: If we detect fraudulent activity, spam, or abuse, we may suspend your account immediately to protect other users and investigate.
4. Subscription Plans & Billing
4.1 Free Trial
- All new accounts get a 14-day free trial
- No credit card required to start trial
- Full access to all features in your chosen plan
- You can cancel anytime during trial with no charges
4.2 Paid Subscriptions
- Billing cycle: Monthly or annually (you choose)
- Payment method: Credit card, debit card, or bank transfer (via Paystack/Flutterwave)
- Auto-renewal: Your subscription renews automatically unless you cancel
- Price changes: We'll notify you 30 days before any price increase. You can cancel if you don't agree.
4.3 Upgrades & Downgrades
- Upgrades: Take effect immediately. You'll be charged the prorated difference.
- Downgrades: Take effect at your next billing cycle. No mid-cycle refunds for downgrades.
4.4 Cancellation & Refunds
- You can cancel anytime from your account settings or by emailing us
- Cancellations take effect at the end of your current billing period
- Refund policy: If you're unhappy within the first 30 days of your first paid month, we'll refund you — no questions asked
- After 30 days: No refunds for unused time, but you keep access until period ends
- Annual plans: Prorated refunds available if you cancel within first 90 days
💡 Fair Refund Philosophy: We want happy customers. If there's a legitimate issue with our service (outages, bugs, data loss), contact us and we'll work something out — even outside the 30-day window.
5. What You Can and Can't Do
✅ You CAN:
- Use Dalverle to run your legitimate hospitality business
- Upload your own content, menus, photos, and pricing
- Export your data anytime in CSV or JSON format
- Use Dalverle at multiple locations (depending on your plan)
- Customize your online ordering site with your branding
❌ You CANNOT:
- Resell, redistribute, or sublicense Dalverle to others (unless you're on an Enterprise plan with explicit permission)
- Attempt to reverse-engineer, hack, or access parts of the system you shouldn't
- Use Dalverle to sell illegal items, weapons, drugs, stolen goods, or adult content
- Spam customers with excessive emails or SMS messages
- Upload malicious code, viruses, or anything that could harm our infrastructure
- Impersonate another business or use false business information
- Use automated bots to scrape data or overload our servers
6. Your Data & Ownership
🔒 Bottom line: Your data is YOUR data. We don't sell it. We don't use it for anything except running your service.
What this means:
- You own: All customer data, order history, product catalogs, sales records, and content you upload
- We own: The Dalverle software, codebase, design, and infrastructure
- You grant us permission to: Store and process your data to provide the service (e.g., display menus, process orders, generate reports)
- We will NOT: Sell your data to third parties, use it for advertising, or share it with competitors
- Data export: Request a full export anytime from your dashboard or by emailing us
- Data deletion: When you cancel, we keep your data for 90 days (in case you change your mind), then permanently delete it
7. Service Availability & Uptime
We aim for 99.5% uptime but we're honest that things can go wrong:
- Planned maintenance: We'll notify you 48 hours in advance for scheduled downtime (usually overnight)
- Unplanned outages: If our servers crash, we'll post updates at status.dalverle.com (when available) and email you
- Your responsibility: We recommend having a backup ordering method (paper menus, phone orders) during major events
- Force majeure: We're not liable for outages caused by natural disasters, war, internet provider failures, or acts of God
⚠️ Realistic Expectations: We're a small team building great software. We'll work 24/7 to fix issues, but we can't promise perfect uptime. If an outage causes significant harm to your business, contact us and we'll discuss compensation.
8. Payment Processing
- Customer payments (from your diners/guests) go through Paystack, Flutterwave, or Stripe — not through us
- You are responsible for setting up your payment gateway account
- We never touch your customer payment funds
- Payment processor fees (usually 1.5-2.5%) are between you and the processor, not us
- You're responsible for complying with PCI-DSS and payment regulations in your country
9. Intellectual Property
- Dalverle brand, logo, and software: We own all rights. You can't copy, modify, or redistribute our code.
- Your content: You own it. By using Dalverle, you grant us a license to display it (e.g., show your menu to customers).
- Trademarks: You can say "powered by Dalverle" but you can't imply we endorse you unless we do.
10. Limitation of Liability
Let's be real: Software breaks. Here's what we're liable for and what we're not:
✅ We ARE responsible for:
- Providing the service described in your plan
- Fixing bugs and security issues promptly
- Protecting your data with reasonable security measures
- Refunding you if we fail to deliver the service (as per refund policy)
❌ We are NOT responsible for:
- Lost revenue: If Dalverle goes down and you lose sales, we're sorry, but we can't compensate for lost profits
- Third-party failures: If Paystack, your internet provider, or your customer's phone dies, that's not on us
- Your mistakes: If you delete all your products by accident or set wrong prices, we can't fix that
- Indirect damages: Legal fees, reputational harm, or consequential damages aren't our responsibility
- Maximum liability: Our total liability is capped at the amount you paid us in the last 12 months
💡 Translation: Use Dalverle at your own risk. We'll do our best, but we're not a insurance policy for your entire business.
11. Termination
You can terminate:
- Anytime, for any reason, by canceling your subscription
- No penalties (except no refund for unused time after 30 days)
We can terminate:
- If you violate these terms (fraud, illegal activity, abuse)
- If your payment fails repeatedly and you don't update it
- If we discontinue the service (with 90 days notice and full refund)
What happens after termination:
- Your account becomes read-only immediately
- You have 90 days to export your data
- After 90 days, we permanently delete everything
12. Changes to These Terms
- We may update these terms as we add features or comply with new laws
- Minor changes: Posted here with updated date
- Major changes: We'll email you 30 days in advance
- Continuing to use Dalverle after changes means you accept them
- If you disagree, you can cancel before changes take effect
13. Governing Law & Disputes
- Jurisdiction: These terms are governed by the laws of Nigeria (where Dalverle is registered as RihanCo Nigeria Ltd)
- Disputes: We prefer to resolve issues amicably. Email us first: support@dalverle.com
- Legal action: If we can't resolve it, disputes will be handled in Lagos, Nigeria courts
- International users: If you're in Lebanon or elsewhere, Nigerian law still applies but we'll respect your local consumer protection laws where stronger

1. What Information We Collect
1.1 Information You Give Us
- Account details: Business name, owner name, email, phone number
- Billing information: Credit card (stored by Stripe/Paystack, not us), billing address
- Business data: Product catalogs, menus, prices, photos, staff names
- Customer data (yours, not ours): Names, phone numbers, delivery addresses, order history of YOUR customers
1.2 Information We Collect Automatically
- Usage data: Which features you use, how often, errors that occur
- Device information: IP address, browser type, device type
- Cookies: For login sessions, preferences, and analytics (see Cookie Policy below)
- Performance data: Page load times, server response times (to improve speed)
2. How We Use Your Information
- To provide the service: Process orders, display menus, manage inventory, generate reports
- To improve Dalverle: Analyze what features are used most, identify bugs, optimize performance
- To communicate with you: Service updates, billing notifications, support responses
- To comply with law: Tax reporting, legal requests from authorities
- Marketing (optional): Product updates, new features — you can unsubscribe anytime
3. Who We Share Data With
⚠️ We don't sell your data. Ever. But we do share it with these trusted partners to make Dalverle work:

- Cloud hosting: DigitalOcean, AWS, or similar (to store your data securely)

We do NOT share with:
- Advertisers
- Data brokers
- Your competitors
- Anyone else without your explicit consent
4. How We Protect Your Data
- Encryption: All data in transit uses TLS/SSL (the same security banks use)
- Database encryption: All data at rest is encrypted on our servers
- Access control: Only authorized Dalverle staff can access production data (and only for support)
- Password security: We use bcrypt hashing — we can't see your password, ever
- Regular backups: Daily backups stored in separate secure locations
- Security audits: Regular vulnerability scans and penetration testing
⚠️ Honest Disclaimer: No system is 100% secure. If we suffer a data breach, we'll notify you within 72 hours and provide details on what was compromised and what we're doing about it.
5. Your Data Rights
You have the right to:
- Access your data: Request a copy of all data we have about you (email us)
- Correct your data: Update business info, email, phone number anytime from your dashboard
- Export your data: Download all your data in CSV or JSON format
- Delete your data: Cancel your account and request immediate deletion (or wait 90 days for auto-delete)
- Object to processing: Ask us to stop using your data for marketing (we'll still need it for core service)
- Portability: Take your data to a competitor if you want (we'll even help with the export)
6. Customer Data (Your Customers' Info)
Important distinction: When your customers place orders, YOU are the data controller, and WE are the data processor.
- Your responsibility: Comply with privacy laws (GDPR, Nigeria Data Protection Regulation, etc.) for YOUR customers
- Our responsibility: Process the data securely according to your instructions
- Data Processing Agreement: Enterprise customers can request a formal DPA
7. Data Retention
- While you're a customer: We keep all your data actively
- After cancellation: Data is kept for 90 days in case you reactivate
- After 90 days: Permanently deleted from production systems
- Backups: May remain in encrypted backups for up to 12 months for disaster recovery
- Legal requirements: Some data (invoices, tax records) may be kept for 7 years as required by Nigerian law
8. Children's Privacy
Dalverle is not intended for children under 18. We don't knowingly collect data from minors. If we discover we have, we'll delete it immediately.
9. International Data Transfers
